contract formation, how to do, law homework help

Bob decides that he wants the toys and calls you to set up a meeting to discuss the price and to examine the collection of toys to make sure they are in excellent shape.

On October 4th, you meet at a local restaurant whereupon Bob examines the toys, which are up to his standards. You offer to sell them to him for $750.00. Bob scoffs and offers $650.00. Although you are a bit frustrated with his counteroffer, you remember that you really need the money so you offer $725.00. Bob grumbles and increases his offer by a mere $10 to $660.00. He claims he will not pay a penny more. You lower your price to $720.00 and inform him that this is your best, final offer.

Bob states that he will not pay that price and departs the restaurant. Feeling defeated you collect your toys and go home. As you walk home, you wonder if you should have continued the negotiation and gone lower seeing that $700 is your goal price.

On October 13th, you get a call from Bob. It turns out that he combed the entire Internet and can’t seem to find a set that is complete like the one you are offering. Sounding a little bashful, Bob offers to pay you $700.00 for the set. Just to toy with Bob a bit, you provide a price of $710.00. After hesitating for a few moment, Bob accepts.

You mutually agree that you will meet at noon on October 17th back at the restaurant that you met the previous week. You make a stipulation that you want payment to be in cash, particularly smaller bills.

Based on the information from the worksheet from last week, you are to build a formal, written contract. You will need to include:

  1. Parties – The names and addresses of all the contracting parties should be clearly stated. You can make these up for this contract.
  2. Dates – List the date that the contract is being entered into.
  3. Definitions and Interpretations – If there are any defined terms in the contract, this section should provide specific and clear definitions.
  4. Payment Provisions – The exact price to be paid for the goods or services provided and the date or dates for payment to be made should be clearly set out. Remember, you want cash and not a check or credit card for this contract.
  5. A specific description of the set of toys should be stated in this section.
  6. Term of contract – The length of the contract should be stated and it should also be noted whether there are any options to continue the contract. This is a contract for this specific instance and should be noted in the contract.
  7. Limitation of liability – This section caps the liability of either party to the contract. For example, Mr. Barker has inspected the set of toys and accepts them “as is.” If he finds a defect with them at a later date, you have no further responsibility to him.
  8. Signature Lines – Provide proper signature and date lines at the conclusion of the contract for both parties.

Besides including the above list and the standard elements of a contract, you are to also include the following clauses into your formal, written contract between you and Mr. Barker:

  1. A Mandated Alternative Dispute clause.
  2. Act of God/ Force Majeure Clause in case the toys are destroyed by a natural disaster.

Public Policy Analysis

You have studied how the legislative and judicial branches of government have a wide variety of checks that they can utilize to constrain the power of the president.

However, the framers of the U.S. Constitution also invested within the presidency a wide arsenal of tools. These tools allow the executive branch to effectively block the policymaking powers of other branches of government. As the Learning Resources indicate, even the threat of a veto from the White House is often enough to greatly influence discussions, compromises, and working sessions regarding legislation for one simple reason: It is extremely difficult for the Congress to muster a two-thirds majority to override a presidential veto. Therefore, the very threat of such a veto is often enough to motivate lawmakers to change course or to integrate important considerations of the president.

While there are many checks and balances between the different branches of the federal government, the extent to which they are used depends upon the individuals who occupy offices in Congress, the Supreme Court, and the Oval Office.

Consider how the powers and constraints of the executive branch may influence the policymaking ability of the president. Think about how the powers of the presidency might serve as a check on the policymaking activities of the legislative and judicial branches of government.

The Executive Branch, best exemplified in the person of the president, saw its power grow considerably in the 20th century. Consider the scope of those powers and the degree to which the other two branches of government have constrained the reach of the Executive Branch in recent years.

Select one constraint and one power of the executive branch (presidency). Then analyze the impact of each on the policymaking powers of the legislative and judicial branches.

With these thoughts in mind:

By Day 4

Post an explanation of one constraint on the policymaking powers of the presidency. Then explain one power that allows the executive branch to serve as a check on the policymaking powers of the legislative and judicial branches. Provide and analyze an example of a recent policy decision that illustrates either a constraint on the power of the executive branch or a check on the powers of the other branches. For non-U.S. students, you may explore constraints on the policymaking powers of your country’s executive branch (e.g., prime minister, president, premier).

discussion of management

First of all, you need to post two discussion. more than 300 words each.

on this second discussion board, please talk about the downsizing/closing of major chain stores (ex. Sears, JC Penney, Best Buy, Gander Mountain, etc.) and provide support as to why you think this is occurring. Discuss the emerging online piece of strategy for all of these firms as well as for WalMart and Target (ex. Walmart recently purchased JET–why did they do that? Amazon recently purchased Whole Foods–why did they do that?). Take this discussion any direction you wish but do bring out what is happening from a strategic point of view.

An age-old question is “Does structure follow strategy or does strategy follow structure?” The new, successful firms appear to be on-line driven and not really interested in brick and mortar. Amazon is the obvious example. Does the rapid growth of Amazon and similar firms put pressure on Walmart and Target, etc. to change or can they still survive (can anyone still survive) without creating online revenue streams to go along with their traditional strategy of storefronts? Is Amazon a true “Technology company”? They never really developed or wanted to develop a brick and mortar strategy. Is ecommerce, in all its forms, the Blue Ocean of today (soon to become Red)? Is this truly the future, the destiny of retail and many other industries? These are just examples of threads/directions that you can discuss along with the many others that you all will develop over the time frame this board is open.

Play Review

I have already done the play prompts, play find attached now she wants us to write into a play review. Must have at lest seen Peter Pan the movie to be able to reference it to the play review. Must have knowledge of Theater 101_I03 or similar. Needs to be very detailed.

Paragraph One – Talk about where and when the play was being held. Give title and author. You can comment a little on the theatre experience here. Or comment on the specific theatre and company where the play is being held.

Paragraph Two – Dive in and discuss what you think the theme was. What type of play is it (comedy/drama/musical/etc.)? Give examples as to why you think it is this type of play. Musicals are usually light, but not always. Don’t just give me the story. Try to include textbook information or other information learned in the course (no need to have bibliography).

Paragraph Three – Discuss the actors and the acting. Do not discuss them as the characters. Refer to textbook information about acting. Give overview. Then be specific and discuss two of them in detail. The question really is this: are they believable in the roles and why are they believable. Did they have any special things they had to do for the roles (singing, dancing, accents, makeup, etc.) Give examples of their believability. Lots of examples. Try to include textbook information or other information learned in the course (no need to have bibliography).

Paragraph Four – Discuss the theatre and the set and props. What type of theatre is it? Why do you think it is this type of theatre? What did the set look like? Was it realistic, representational, or what? Use what you have learned in the book. Give examples. Lots of examples. Try to include textbook information or other information learned in the course (no need to have bibliography).

Paragraph Five – Discuss the costumes and makeup. Discuss in detail. The wrong thing to write is “the costumes were representational of the period”. That tells me nothing. Pretend I have never seen the show and know nothing about it, give me descriptions. Lots of descriptions. Again, use what you have learned in the course.

Paragraph Six – Discuss the lighting and sound. Discuss in detail. Give examples. (Same guidelines as above).

Paragraph Seven – Give some final thoughts. This is where your opinion can come into the picture. Did you like it? Did you not? Tell me why or why not. Would you recommend it to someone else?

Play reviews should be in normal font (12) and can be double-spaced but no penalty if not. Of course, if it is double-spaced, it should be much longer than 4 pages.
