This week we learned of quite a few options a business has for reorganizing which each have some advantages and disadvantages but are not taxable transactions (and of course anything outside these becomes a taxable transaction. So, one must carefully weigh the advantages and disadvantages and make decisions based on what he believes will happen once he reorganizes.

There are seven types of non-taxable reorganizations (A-G) and they are generally distinguished by whether the target or acquirer (or both) remain after the reorganization, and what is used in consideration. So, one must carefully consider what he wants to get out of the reorganization: for instance, is it better to merge or consolidate? Should he branch out into two new companies? Does he want to exchange stock or boot? Another important factor is whether the tax attributes of the target corporation are acquired in the reorganization. In types A, C, D, and G reorganizations the tax attributes are acquired from the target. In B, E, F reorganizations, the tax attributes remain with the target. It can be advantageous to acquire the tax attributes in some circumstances. If you think the target is going to perform well in the future and they have a current net operating loss (NOL) and you consolidate you can have the advantage of that NOL.

The passages we have looked at thus far in class would greatly inform the Christian’s decision in these matters that involve estimations and uncertainty. He can be obedient to the government because God has given it its authority (Romans 13, Matthew 25:15-22), and make his decision in a way that is fair and honoring to God (Ephesians 6:7, Proverbs 20:9-11). Taxes are necessary for the government to do its work (Judges 21:25, Romans 13), and so the Christian should be careful to abide by the government’s rules regarding taxes, not trying to make it only appear as if he is, but actually doing it. And he should make his decision concerning which reorganization to choose carefully, being a good steward to the gifts God has given him (1 Peter 4:10 – we did not look at this one in class, but I think it applies).

There are many non-tax reasons HugeCo would think it was a good idea to acquire their important supplier Bitty Co in consolidation:

  • They might earn a greater profit if the production of supplies was in-house and they gained all of Bitty Co’s customers. They’d probably have to do a cost/benefit analysis or have me do it for them.
  • Bitty Co is likely an expert in manufacturing their supplies and so HugeCo would benefit from that expertise as they continue to grow.
  • By consolidating, they could maintain their separate trademarks if they have good brand recognition and that is important to them.
  • Also, it could be that Bitty Co might want to join HugeCo to improve Bitty Co’s image while cutting down on purchasing costs for HugeCo. And an improvement in Bitty Co’s image would be mutually beneficial with HugeCo if they were consolidated.
  • They might want to isolate some assets with Bitty Co to shield them from the liabilities of their operations.

There are many tax reasons as well but as our book points out the non-tax reasons are often what motivate companies more. I feel like I would be able to give to better advice if I knew more details, but you would in real life of course. There are also several points that might make a consolidation appeal to Bitty Co (including #4 above):

  • Bitty Co might be in an unfriendly business environment and consolidating with Huge Co would likely open up doors in a more friendly one. I’m assuming HugeCo is in a friendly one because of their success.
  • If Bitty Co’s owners want to shield their true identities consolidation with HugeCo might help them to do so, especially if they have negative goodwill. This is similar to number 4 above.

I think that when it comes down to new treatment drugs, both researchers and pharmaceutical companies benefit financially. I think that this is a very controversial topic because both work hard. However, I think that researchers are the ones that should be able to profit financially because they are the ones that spend time and effort into making these new drugs. They also dedicate enough time to figure out exactly what this new drug consists of including any side effects. Many people can argue that pharmaceutical companies also spend time into these new treatment drugs. In regards to the second question, my answer would still remain the same because I believe that as long as ethical guidelines are followed this should not be an issue. I think that no matter what the situation both researchers and pharmaceutical companies work together. I think that when ethical guidelines and standards are not being followed that is when this becomes a big issue. I also believe that there are many legal issues that arise from not following ethical standards especially when it comes to new treatment drugs

Well to begin with an organization actually stands to earn a profit from intergrating a compliance and ethic program. What a compliance program does is basically educate and reinforce what should or should not be done so HIPPA is not violated. But it goes beyond that because following the program actually saves a company money and builds a good work enviroment.

Anytime an organization violates HIPPA they will have to pay a fine and worse they will be on the news. Sometimes publicity can be worse than a fine because while a fine can a one time thing. A bad news publicity can change a person mind forever and this causes loss of income. So its in the best interest for an organization to create such programs so their workers are aware of the importance of the work they do no matter how minimal.

A compliance program also builds a good view from the perspective of a worker. In a world where many people work different jobs for experience we all are finding that one place to stay and feel at home. A good ethical standing organization that works hard to provide best care to patients while understanding of the workers stress stands out. While its true if a organization is too rough on its standards it can look bad but I believe its opposite in healthcare. Compliance and ethic programs serve as the moral compass of an organization. Organizations has been known to get carried away and cross the line with clinical trials and medical decision making. History show numerous incidents where unethical practices have harmed and even caused death of human beings. It’s sad to see that in some countries, organizations still conduct unethical clinical trials. I remember working at a hospital many, many years ago in where the billing department one rep was entering a reimbursement amount of one penny, in order to get claims paid. She had mentioned that she heard this from another colleague at another hospital. It wasn’t that she intentionally wanted to receive additional reimbursement, she just didn’t know how to properly get the system to accept the bill electronically. It was funny, that years later, I heard of a large hospital having to pay back a large penalty and enter into an agreement of corrective action for doing this same exact action. It was mind blowing. Without internal governing bodies, who knows how many inappropriate decisions would be made on a daily basis. A bit scary, when I think about it.

BACKGROUND. Here is a little background on the larger issue of school segregation in the U.S. and Chicago. This may be helpful as you think through the Orfield article and the CPS information below in the actual assignment.

The racial segregation of schools has been a hot-button “social problem” for many decades in the United States, at least to many. After the abolition of slavery in 1865, African Americans started regularly attending racially segregated schools. In 1896, the U.S. Supreme Court (Plessy v. Ferguson) affirmed the principle of racially segregated schools as long as facilities for blacks and whites could be described as “separate but equal.” The results were a bifurcated system – radically under-funded, ill-equipped schools for people of color, and well-funded, well-equipped schools for whites, especially those in the middle and upper classes. Because our educational system is a social institution by which society transmits knowledge – including basic facts and job skills, as well as cultural norms and values – to its members, the system, in effect, perpetuated racial and economic inequality.

In 1954, the U.S. Supreme Court (Brown v. Board of Education) ruled that separate schooling for blacks and whites was unconstitutional. Separate is never equal. In the case of the Chicago Public Schools, up until September of 2009, they were operating under a federal consent decree mandating that the district desegregate. In other words, they were found to be separate and unequal, and had to change as a matter of law. Up until September 2009, admissions policies to selective enrollment and magnet schools considered race in admissions decisions to help ensure racial-ethnic balance.

Recent court cases (e.g., Parents Involved in Community Schools v. Seattle School District No. 1, and McFarland v. Jefferson County Public Schools, 2007) have challenged efforts to encourage racially integrated schools and school districts. Essentially, the court is now suggesting that considering race for the purposes of racial equality in schooling is unconstitutional. The logic here is that we are now a “post-racial” society. Quite a change (!) and one that many disagree with.

The effects of these recent decisions on social policy are still being worked through in school districts around the country. In Chicago, at least in part due to these recent Supreme Court decisions, and more directly, due to CPS being released from the consent decree, a new admission policy for selective enrollment and magnet schools was recently proposed and approved by the school board. (The links in Part B below describe the new process.)

Prompt: Your short paper should identify and briefly describe the business that you propose to study and describe the government impact that it has faced or
would be likely to confront. Make your case for why the business and government impact you select are appropriate subjects for the final project. If your
instructor believes that your choice will not provide sufficient material for you to achieve success with the final project, you may have to select a different
business and/or government impact.
Your macroeconomic evaluation should answer the following prompt: Select a business that has faced, or is facing, governmental action, and analyze the impact
of this action on the business. Ideally, the business that you select will be the same one discussed in the business plan you created for MBA 560: Marketing and
Strategy. If that company does not yet exist, you should choose one in the same area of focus that is facing a governmental action, regulatory issue, or political
challenge, with instructor consultation and approval. This is important because the analysis you complete now should help inform your knowledge of potential
situations or challenges facing your business product, service, or other idea from your business plan. While your area of focus may be different from the possible
topics and situations listed here, these should still give you an idea of the type of situation for which to look.

 The decision of LG Corporation to construct a new corporate headquarters on the Hudson River in New Jersey, in the face of environmental concerns
 The decision of Tesla Motors, Inc. to choose among competing incentive packages from local governments for the construction of the company’s new
Gigafactory
 The threat of Amazon.com to move its drone research development activities out of the United States unless the Federal Aviation Administration adopts
a more favorable regulatory stance
 The federal Occupational Safety and Health Administration’s decision to issue numerous citations to Ashley Furniture
 McDonald’s Corporation and the decision by Seattle, Washington to increase the minimum wage in that city

Specifically, the following critical elements must be addressed:

A. Business Profile: Provide a brief profile of the business and the industry it occupies, including the business’s market share and competitors, as
well as opportunities and threats facing the business and industry outside of the particular governmental action now facing the business.
B. Governmental Action: Analyze the potential governmental action or political challenge that will affect the business in this particular situation.
